Overview

We are thrilled to be exclusively partnering with a well renowned membership organisation, who are looking to recruit a dynamic and motivated Governance Officer to join their fantastic governance team. Reporting to the Director of Governance, you will make sure that agendas and minutes are fully prepared, along with assisting in the delivery of annual Board and Committee meetings. The ideal candidate will be part-CGI qualified or will have started their exams, with a proven track record of working in a previous governance position.

 

Key Responsibilities

  • Provide governance support to Group Committees and subsidiary Boards, including agenda planning, paper collation and review, minute-taking and action tracking.
  • Advise on legal, regulatory and constitutional requirements, maintaining statutory records and filings and supporting corporate governance compliance.
  • Support the planning and delivery of Annual General Meetings, governance projects, evaluations, subsidiary constitution changes and statutory audits.
  • Contribute to year-end processes, including the governance section of the annual report and accounts.
  • Build effective relationships with internal and external stakeholders, contribute to improving governance processes and ways of working, and support the use of board portal and company secretarial technology.

 

Skills & Experience

  • Experience within a Secretariat or Governance team, ideally in a membership organisation, charity, public body or other non-mainstream organisation.
  • Strong experience supporting Boards and Committees, including agenda preparation, paper management, minute-taking and action tracking.
  • Good technical knowledge of corporate governance and company secretarial requirements, including statutory filings and corporate records.
  • CGI part-qualified, working towards the qualification, or equivalent relevant governance experience.
  • Strong written and verbal communication skills, with excellent attention to detail, proofreading and IT skills, including Word, Excel and PowerPoint.
